WILLO TERMS OF SERVICE AND END USER LICENSE AGREEMENT
These Terms of Service and End User License Agreement (“Terms” or “Agreement”) form a legally binding agreement between you and Willo, doing business as Willo (“Willo,” “we,” “us,” or “our”), governing your access to and use of the Willo mobile application, website, software, artificial-intelligence features, coaching features, workout and exercise tools, nutrition and meal tools, activity and wellness tools, integrations, content, subscriptions, and all related products and services that we make available (collectively, the “Services”).
These Terms also constitute the end user license agreement governing your installation and use of the Willo mobile application and related software.
IMPORTANT — PLEASE READ CAREFULLY
WILLO IS A FITNESS AND GENERAL-WELLNESS TECHNOLOGY SERVICE. WILLO IS NOT A MEDICAL DEVICE, HEALTHCARE PROVIDER, PHYSICIAN, REGISTERED DIETITIAN, PHYSICAL THERAPIST, PSYCHOLOGIST, CERTIFIED PERSONAL TRAINER PROVIDING LIVE SUPERVISION, OR EMERGENCY SERVICE.
WILLO USES ARTIFICIAL INTELLIGENCE AND AUTOMATED SYSTEMS. AI-GENERATED OR ALGORITHMIC OUTPUT MAY BE INCORRECT, INCOMPLETE, MISLEADING, UNSUITABLE, OR UNSAFE FOR A PARTICULAR USER OR SITUATION.
EXERCISE AND PHYSICAL ACTIVITY INVOLVE INHERENT RISKS, INCLUDING RISK OF SERIOUS INJURY. YOU ARE RESPONSIBLE FOR DECIDING WHETHER AND HOW TO ACT ON INFORMATION OR RECOMMENDATIONS PROVIDED THROUGH WILLO.
IF YOU ARE A UNITED STATES USER, SECTION 36 CONTAINS A BINDING INDIVIDUAL ARBITRATION AGREEMENT, CLASS AND REPRESENTATIVE ACTION WAIVER, AND JURY TRIAL WAIVER THAT AFFECT YOUR LEGAL RIGHTS. YOU HAVE A LIMITED RIGHT TO OPT OUT OF ARBITRATION AS DESCRIBED IN THAT SECTION.
By clicking or tapping “I Agree,” “Accept,” “Continue,” or another acceptance mechanism presented by Willo, creating an account after being presented with these Terms, purchasing a subscription subject to these Terms, or otherwise expressly accepting these Terms, you acknowledge that you have read, understood, and agree to be legally bound by them.
Your electronic acceptance of these Terms has the same legal effect as a written signature to the extent permitted by applicable law.
If you do not agree to these Terms, you may not create or use a Willo account or use the Services.

If we reasonably believe that an account is being used by a person under 18, we may suspend or terminate the account and take appropriate steps regarding associated personal information in accordance with applicable law and our Privacy Policy.
We may request information reasonably necessary to verify eligibility.

No description of Willo as a “coach,” “personal coach,” “live coach,” “AI coach,” “trainer,” “fitness on autopilot,” or similar term means that Willo is providing licensed healthcare services or continuous human professional supervision.
3. General Wellness Only — No Medical Services
Willo is provided solely for general fitness, wellness, educational, and informational purposes.
Except where we expressly state otherwise in connection with a separately regulated service, Willo is not intended or designed to:
- diagnose any disease, injury, disorder, or medical condition;
- detect a medical condition;
- provide a medical diagnosis;
- prevent disease;
- treat disease or injury;
- cure disease;
- mitigate disease;
- monitor a disease or medical condition for clinical purposes;
- prescribe treatment;
- provide rehabilitation or physical therapy;
- provide individualized medical nutrition therapy;
- replace medical examination or treatment;
- provide emergency medical monitoring; or
- make clinical decisions.
Nothing provided through Willo creates a:
- physician-patient relationship;
- clinician-patient relationship;
- dietitian-patient relationship;
- therapist-patient relationship;
- physical therapist-patient relationship;
- professional trainer-client relationship involving live physical supervision; or
- other licensed professional relationship.
Information that appears personalized remains general-wellness information and does not become medical advice merely because it uses information from your profile, activity, workout history, meals, goals, preferences, or other data.
You should obtain advice from an appropriately qualified professional when professional evaluation is appropriate for your circumstances.
If you have a medical condition, injury, pregnancy, history of fainting, cardiovascular concern, significant physical limitation, eating disorder, metabolic condition, medication that may affect exercise or nutrition, or another circumstance that may affect your ability to exercise or alter your diet safely, you should consult an appropriate licensed professional before materially changing your exercise or nutrition practices.
Never disregard professional medical advice or delay seeking professional care because of information provided through Willo.
4. Willo Is Not an Emergency Service
Willo does not provide emergency monitoring, emergency diagnosis, emergency communications, or emergency medical services.
Willo does not continuously monitor your body, physical condition, surroundings, exercise technique, consciousness, heart function, breathing, or safety.
Do not rely on Willo to identify an emergency.
If you believe you may be experiencing a medical emergency or serious injury, stop using the Services and contact the appropriate local emergency service or qualified healthcare professional.
5. Artificial Intelligence and Automated Systems
Certain features use artificial intelligence, machine learning, large language models, computer vision, algorithms, automated decision systems, rules-based systems, or third-party AI technologies (“AI Features”).
AI Features may receive information from you or your Willo profile (“Input”) and generate text, recommendations, estimates, classifications, plans, responses, analyses, or other information (“AI Output”).
AI Output may include:
- workout plans;
- exercise selections;
- workout modifications;
- exercise replacements;
- weight or resistance suggestions;
- progression recommendations;
- nutrition suggestions;
- calorie or macronutrient estimates;
- meal-photo analysis;
- coaching responses;
- motivational responses;
- explanations;
- progress insights;
- schedule adaptations; and
- other personalized or apparently personalized recommendations.
You acknowledge and agree that AI technology has inherent limitations.
In particular:
AI Output may be inaccurate.
AI Output may be incomplete.
AI Output may be outdated.
AI Output may misunderstand your Input.
AI Output may misunderstand context.
AI Output may make incorrect assumptions.
AI Output may contain internally inconsistent information.
AI Output may produce different answers to the same or similar requests.
AI Output may recommend something that is inappropriate for you.
AI Output may fail to identify a risk that would be apparent to a qualified person with more information.
An AI system cannot know facts about you or your circumstances that you have not accurately provided.
AI systems can generate confident-sounding information that is nevertheless incorrect.
Unless Willo expressly states otherwise, AI Output is not independently reviewed by a human professional before it is provided to you.
You must not rely on AI Output as your sole source of truth or as a substitute for professional advice where professional advice is appropriate.
You are responsible for evaluating AI Output for accuracy, appropriateness, and safety before acting on it.
6. AI Is Not a Human Coach
AI Features may use conversational language and may be presented through a character, coach, assistant, or other human-like interface.
This does not mean that you are communicating with a human.
Unless Willo expressly identifies a communication as being provided by a human, you should assume that coaching or conversational functionality is provided or assisted by software.
AI Features do not possess independent knowledge of your physical condition and do not provide the type of observation, judgment, supervision, or immediate intervention that an in-person trainer or healthcare professional can provide.
Even when Willo provides “live coaching” during a workout, this means responsive software-based coaching and adaptation. It does not mean that a human professional is continuously watching, supervising, or guaranteeing the safety of your workout.
7. Safety Systems and Refusal of Unsafe Requests
Willo may use safeguards designed to identify or reduce potentially unsafe recommendations.
For example, Willo may:
- decline a request;
- limit a recommendation;
- suggest a lower intensity;
- recommend stopping an activity;
- prevent or limit certain calorie adjustments;
- decline to facilitate extreme nutritional behavior;
- suggest seeking professional assistance;
- limit progression;
- modify an exercise recommendation; or
- otherwise restrict functionality for safety reasons.
You agree that Willo may take these actions without liability to you.
However, safety systems are themselves automated systems and are not guaranteed to identify every risk, unsafe request, injury, condition, or inappropriate recommendation.
The presence of a Willo safety feature does not mean that an activity or recommendation is safe for you.
You must continue to exercise your own judgment.
8. Exercise and Physical Activity Risks
Physical exercise and athletic activity involve inherent and potentially serious risks.
These risks may include:
- muscle soreness;
- strains;
- sprains;
- falls;
- fractures;
- equipment accidents;
- overexertion;
- dehydration;
- aggravation of an existing injury or condition;
- cardiovascular events;
- loss of consciousness;
- permanent injury;
- and, in rare circumstances, death.
No software application can eliminate these risks.
Before performing an exercise or workout, you are responsible for determining whether:
- the exercise is appropriate for you;
- you understand how to perform it;
- the resistance or weight is appropriate;
- you have sufficient experience to perform it;
- your physical condition permits it;
- your environment is safe;
- any equipment is suitable and properly maintained;
- you have adequate space; and
- the activity can be performed safely.
Do not perform an exercise solely because Willo recommended it.
You are always free to reduce, replace, skip, pause, or stop an exercise or workout.
To the maximum extent permitted by applicable law, you knowingly and voluntarily assume the inherent risks associated with physical exercise and athletic activity undertaken in connection with your use of the Services.
9. Exercise Technique and Demonstrations
Descriptions, animations, images, videos, instructions, cues, or demonstrations provided through Willo are for general educational purposes.
They do not constitute individualized assessment of your technique.
Willo cannot determine from ordinary app usage whether:
- your form is correct;
- your equipment is configured properly;
- your range of motion is appropriate;
- your posture is safe;
- your movement is causing excessive joint or tissue stress; or
- another person or object creates a hazard around you.
You remain responsible for safe execution of every movement.
If you do not know how to perform an exercise safely, obtain appropriate instruction before performing it.
10. Weight, Resistance, Repetition, and Progression Recommendations
Recommendations concerning:
- resistance;
- dumbbell or barbell weight;
- machine settings;
- assisted weight;
- repetitions;
- sets;
- training volume;
- intensity;
- progression;
- rest;
- exercise difficulty; or
- estimated first-use weight
are estimates rather than guarantees.
They may be derived from information such as your prior workouts, logged performance, self-reported experience, body information, goals, or algorithmic estimates.
Actual physical ability may differ materially from an estimate.
A recommended resistance or progression should be treated as a starting suggestion, not proof that the resistance is safe or appropriate.
You are responsible for selecting a load that you can perform safely and with appropriate technique.
11. Pain, Discomfort, Injury, and Symptom Reports
Willo may allow you to report pain, discomfort, injury, soreness, physical limitations, or other symptoms.
Any response provided by Willo in connection with such information is for general fitness and wellness purposes only.
Willo cannot:
- diagnose the cause of pain;
- determine whether an injury exists;
- determine the severity of an injury;
- rule out serious conditions;
- conduct a physical examination;
- provide medical clearance;
- prescribe treatment; or
- determine when medical care is necessary in every circumstance.
A suggestion to replace, reduce, modify, or stop an exercise is not a medical diagnosis or treatment recommendation.
If symptoms are severe, unusual, persistent, worsening, or otherwise concerning, stop the relevant activity and seek appropriate professional evaluation.
If Willo provides a warning or recommends stopping an activity or seeking professional assistance and you choose to disregard that recommendation, you do so at your own risk.
12. Nutrition and Food Information
Nutrition functionality provided through Willo is intended solely for general wellness, educational, and informational purposes.
Willo may provide or estimate:
- calories;
- protein;
- carbohydrates;
- fats;
- fiber;
- serving sizes;
- portion sizes;
- ingredients;
- food identity;
- nutritional values;
- meal quality;
- daily targets;
- meal adjustments;
- calorie adjustments; or
- other nutrition-related information.
These values may be estimates.
Food composition varies based on numerous factors including:
- brand;
- recipe;
- serving size;
- preparation method;
- cooking method;
- oils;
- sauces;
- condiments;
- substitutions;
- ingredient quantity;
- manufacturing variation; and
- measurement error.
Willo does not guarantee that nutrition information corresponds to the food you actually consumed.
13. Meal Photograph, Voice, and Text Estimates
Willo may allow you to log meals using a photograph, voice description, typed description, or other input.
AI-based meal analysis may incorrectly:
- identify food;
- identify ingredients;
- estimate quantity;
- estimate serving size;
- identify cooking methods;
- detect oils or sauces;
- estimate nutritional values; or
- distinguish visually similar foods.
A meal photograph generally cannot reveal every ingredient, preparation technique, or exact amount consumed.
You are responsible for reviewing and, where appropriate, correcting meal information before relying on it.
14. Allergies and Dietary Restrictions
DO NOT RELY ON WILLO TO IDENTIFY FOOD ALLERGENS OR DETERMINE WHETHER FOOD IS SAFE TO CONSUME.
Meal-photo analysis or other AI Features may fail to identify ingredients or allergens.
If you have:
- a food allergy;
- intolerance;
- medical dietary restriction;
- metabolic condition;
- religious dietary restriction;
- or another requirement concerning food ingredients,
- you are responsible for independently verifying food ingredients and suitability using appropriate reliable sources.
15. Eating Disorders and Potentially Harmful Nutrition Behavior
Willo is not an eating-disorder diagnosis or treatment service.
Willo is not a substitute for a physician, registered dietitian, mental-health professional, or specialized eating-disorder professional.
Certain requests involving extreme restriction, dangerously low intake, purging, excessive compensatory exercise, extreme rapid weight change, or other potentially harmful behavior may be restricted or modified by Willo.
Willo does not guarantee that it will identify every sign of disordered eating or unsafe nutrition behavior.
If you have, believe you may have, or are being treated for an eating disorder or related condition, you should obtain guidance from an appropriately qualified professional regarding whether and how to use fitness and nutrition tracking services.
16. Calorie Adjustments and “Bounce Back” Features
Willo may provide features intended to help users return to their ordinary plan following meals, missed workouts, schedule changes, periods of lower activity, or deviations from a planned routine.
Any calorie redistribution, nutritional adjustment, workout adjustment, or similar recommendation is an estimate generated for general wellness purposes.
A recommendation to adjust future intake after consuming more calories than planned is not a medical nutrition prescription and should not be interpreted as requiring you to compensate for food through extreme restriction or exercise.
Willo may impose safety limits on such recommendations.
Those limits do not guarantee that a recommendation is appropriate for every individual.
17. Body Metrics, Energy Expenditure, and Progress Estimates
Any value concerning:
- body fat;
- body composition;
- energy expenditure;
- calories burned;
- energy requirements;
- calorie targets;
- expected weight change;
- expected muscle gain;
- expected fat loss;
- fitness level;
- training readiness;
- recovery;
- progress;
- performance;
- compliance;
- or other physiological or behavioral metrics
may be estimated.
Such calculations may rely on formulas, assumptions, third-party data, user-reported information, historical information, algorithms, or device measurements.
They are not clinical measurements unless expressly stated otherwise.
Actual results may differ materially.
18. Health, Fitness, and Wearable Data
The Services may integrate with Apple Health, HealthKit, connected devices, wearable devices, fitness platforms, or other third-party systems where you authorize such integration.
Information received from these systems may include information such as:
- steps;
- workouts;
- activity;
- energy expenditure;
- heart rate;
- movement;
- distance; or
- other fitness or wellness information.
Third-party measurements may be delayed, incomplete, duplicated, unavailable, or inaccurate.
Willo does not independently guarantee the accuracy of third-party device or platform data.
Unless expressly stated otherwise, information obtained through consumer devices or services should not be interpreted as a clinical measurement.
Third-party integrations are also subject to the terms and privacy practices of the applicable provider.
19. No Guarantee of Results
Willo does not guarantee:
- weight loss;
- weight gain;
- muscle growth;
- fat loss;
- increased strength;
- improved cardiovascular fitness;
- improved health;
- improved athletic performance;
- adherence;
- consistency;
- injury avoidance;
- achievement of any particular body composition;
- achievement of any particular appearance; or
- any other specific outcome.
Individual outcomes depend on factors outside Willo’s control, including genetics, physiology, health, age, training history, technique, nutrition, recovery, sleep, stress, adherence, environment, equipment, and other circumstances.
Past results, testimonials, examples, progress projections, illustrative outcomes, or marketing materials do not guarantee your results.
20. Marketing Statements Are Not Guarantees
Willo may use phrases or descriptions such as:
- “Fitness on Autopilot”;
- “adapts to you”;
- “personalized coaching”;
- “live coaching”;
- “AI coach”;
- “your coach”;
- “personal trainer in your pocket”;
- or similar marketing language.
Such phrases describe the intended experience or functionality of the Services.
They do not create a guarantee, warranty, fiduciary duty, medical relationship, professional relationship, or promise of a particular result unless Willo expressly states otherwise in a legally binding written guarantee.
21. Information You Provide
The quality and relevance of Willo recommendations depend in part on information available to the Services.
You are responsible for providing information that is reasonably accurate, complete, and current.
This may include information concerning:
- age;
- weight;
- height;
- goals;
- training experience;
- fitness level;
- available equipment;
- injuries or limitations;
- workouts;
- exercise performance;
- meals;
- activity;
- preferences; and
- scheduling information.
Willo is not responsible for consequences resulting from inaccurate, incomplete, misleading, outdated, or omitted information supplied by you.
You should update relevant information when your circumstances materially change.
22. Your Responsibility for Decisions
You remain responsible for your own decisions and conduct.
No plan, recommendation, target, alert, score, estimate, notification, suggestion, or AI Output requires you to act.
You are responsible for determining whether an activity is appropriate in light of your circumstances at the time you perform it.
You must use reasonable judgment and stop or modify an activity when circumstances require.
Do not use Willo in a manner that distracts you while:
- driving;
- cycling in traffic;
- operating machinery;
- handling dangerous equipment; or
- performing another activity requiring your full attention.
23. Accounts and Account Security
You may be required to create an account.
You agree to:
- provide accurate account information;
- keep account information reasonably current;
- safeguard your login credentials;
- not knowingly permit unauthorized persons to use your account;
- use reasonable security practices; and
- promptly notify us if you believe your account has been compromised.
You are responsible for activity occurring through your account to the extent permitted by applicable law.
You may not sell, rent, sublicense, transfer, or commercially exploit your account.
We may require additional authentication or verification.
24. User Content and Inputs
The Services may allow you to submit:
- text;
- AI prompts;
- photographs;
- meal photographs;
- voice recordings;
- transcriptions;
- workout data;
- exercise data;
- body information;
- preferences;
- feedback;
- messages; or
- other information or materials
(collectively, “User Content”).
As between you and Willo, you retain rights you hold in your User Content.
You grant Willo a worldwide, non-exclusive, royalty-free license to host, reproduce, transmit, format, technically modify, process, and otherwise use User Content only as reasonably necessary to:
- provide the Services;
- personalize requested functionality;
- maintain the Services;
- protect the Services and users;
- prevent abuse or fraud;
- troubleshoot;
- comply with law; and
- improve the Services where such use is permitted and described in our Privacy Policy.
This license does not give Willo ownership of your personal information.
Use of personal information remains subject to applicable privacy law and our Privacy Policy.
Nothing in these Terms should be interpreted as granting Willo unrestricted permission to use sensitive personal information to train artificial-intelligence models where such use would require separate disclosure, choice, or consent under applicable law.
You represent that you have all rights reasonably necessary to submit User Content.
Do not upload personal information, photographs, voice recordings, or other private content concerning another person unless you have appropriate authority to do so.
25. AI Output and Similarity
AI Output may not be unique.
Other users may receive identical or similar recommendations, plans, wording, exercise combinations, nutrition information, or other output.
Your receipt of particular AI Output does not give you exclusive rights over ideas, facts, methods, workout structures, exercise selections, nutritional concepts, or output that is independently generated for another user.
To the extent Willo grants you rights to use AI Output, those rights are subject to:
- applicable law;
- third-party rights;
- these Terms; and
- rights in underlying Willo content.
26. Privacy
Our Privacy Policy explains how Willo collects, uses, discloses, retains, and protects personal information.
The Privacy Policy is an important document and should be reviewed before using Willo.
Your acknowledgement of the Privacy Policy does not constitute consent to processing that requires separate consent under applicable law. Where separate consent or platform permission is required, Willo will request it separately.
Permissions provided through Apple Health, HealthKit, your device, or another platform remain subject to the controls provided by that platform.
Except where required by applicable law or expressly stated, the Privacy Policy is not intended to expand Willo’s contractual liability under these Terms.
27. Third-Party AI Providers and Service Providers
Willo may rely on third parties for functionality including:
- artificial intelligence;
- machine learning;
- cloud hosting;
- storage;
- analytics;
- security;
- authentication;
- communications;
- crash reporting;
- image analysis;
- speech processing;
- payment processing;
- subscription management; and
- other infrastructure or technical services.
Where necessary to provide a requested feature, User Content or other information may be processed by authorized service providers in accordance with our Privacy Policy and applicable law.
Willo may change service providers, models, algorithms, infrastructure, prompts, or technical systems from time to time.
To the maximum extent permitted by law, Willo is not responsible for independent failures of third-party services outside Willo’s reasonable control.
Nothing in this section limits obligations that applicable law does not permit us to exclude.
28. End User License
Subject to your compliance with these Terms, Willo grants you a limited, personal, revocable, non-exclusive, non-transferable, non-sublicensable license to:
- download and install a copy of the Willo application on compatible devices that you own or control; and
- access and use the Services,
- solely for your personal, non-commercial use and only as permitted by these Terms and applicable platform rules.
The Services are licensed, not sold, to you.
You acquire no ownership interest in the Willo software.
Willo and its licensors reserve all rights not expressly granted.
Your license automatically terminates when these Terms terminate or when your right to use the Services is terminated.
29. License Restrictions
Except where applicable law expressly permits otherwise, you may not:
- copy the Services;
- modify the Services;
- distribute the Services;
- sell the Services;
- rent the Services;
- lease the Services;
- sublicense the Services;
- commercially exploit the Services;
- reverse engineer the Services;
- decompile the Services;
- disassemble the Services;
- attempt to derive source code;
- bypass access controls;
- circumvent subscription restrictions;
- circumvent rate limits;
- circumvent safety systems;
- interfere with security mechanisms;
- scrape or systematically extract Service content;
- use unauthorized automated systems to access the Services;
- introduce malware or malicious code;
- interfere with the operation of the Services;
- access another user’s account without authorization;
- use the Services to violate law;
- misrepresent affiliation with Willo; or
- use Willo’s software, proprietary content, or non-public data to build or train a competing service except where such restriction is prohibited by applicable law.
30. Intellectual Property
Willo and its licensors own or license all right, title, and interest in and to the Services, including:
- software;
- source code;
- object code;
- algorithms;
- interfaces;
- designs;
- graphics;
- artwork;
- exercise content;
- animations;
- databases;
- characters;
- coach designs;
- trademarks;
- logos;
- text;
- audio;
- video;
- compilations;
- workflows;
- product concepts; and
- other proprietary materials,
- except for User Content and third-party materials.
“Willo” and associated branding, names, marks, characters, visual identities, and logos are proprietary assets of Willo or its licensors.
No rights are granted except as expressly stated.
31. Open-Source Software
The Willo application may include software made available under open-source licenses.
To the extent an applicable open-source license grants rights that conflict with these Terms, the applicable open-source license controls with respect to that component.
32. Feedback
If you voluntarily provide ideas, suggestions, feature requests, concepts, recommendations, or other feedback concerning Willo (“Feedback”), you grant Willo a worldwide, perpetual, irrevocable, transferable, sublicensable, royalty-free right to use and exploit that Feedback without restriction or compensation.
This section does not change the treatment of personal information under our Privacy Policy.
33. Service Availability, Changes, and Usage Limits
Willo is continually evolving.
We may add, change, update, replace, restrict, suspend, or discontinue features where reasonably necessary for:
- product development;
- safety;
- security;
- legal compliance;
- technical reasons;
- service-provider changes;
- abuse prevention;
- capacity management;
- business reasons; or
- improving the Services.
We may impose reasonable:
- AI usage limits;
- daily limits;
- feature limits;
- storage limits;
- rate limits;
- fair-use restrictions; or
- technical restrictions.
A paid subscription does not necessarily mean that every feature is literally unlimited unless the purchase screen expressly states that a particular feature is unlimited.
Features may vary by country, account, subscription, device, or operating system.
We do not guarantee that any feature will remain available indefinitely.
Where applicable law requires notice, continued access, refund, consent, or another remedy following a material change to a paid Service, we will comply with those requirements.
34. Generated Content and Data Retention
Unless expressly promised otherwise, Willo does not guarantee permanent retention of:
- generated workout plans;
- prior recommendations;
- AI conversations;
- meal analyses;
- temporary drafts;
- historical insights;
- uploaded content; or
- other Service data.
Features may have technical retention periods.
You are responsible for maintaining copies of information you need to preserve where the Services provide a reasonable means to do so.
Deletion and retention of personal information are addressed in our Privacy Policy and applicable law.
35. Beta, Preview, and Experimental Features
Certain features may be identified as:
- beta;
- preview;
- experimental;
- early access;
- test;
- prototype; or
- similar.
These features may:
- contain additional errors;
- produce unexpected results;
- change without notice;
- be unavailable from time to time; or
- be discontinued.
Your use of experimental features is voluntary.
Nothing in this section excludes rights that cannot legally be excluded.
36. Subscriptions, Purchases, and Payments
Certain features require a paid subscription (“Subscription”).
Before purchase, Willo or the applicable app marketplace will display material purchase information, which may include:
- price;
- subscription period;
- trial period;
- billing frequency;
- introductory pricing;
- renewal terms; and
- included features.
By purchasing a Subscription, you authorize the applicable payment processor or app marketplace to charge the displayed price, applicable taxes, and other disclosed charges.
36.1 Automatic Renewal
Where a Subscription is described as auto-renewing, it will renew automatically for successive subscription periods unless cancelled before the applicable renewal deadline, subject to applicable law and the rules of the marketplace through which you purchased it.
The price applicable to renewal will be the price disclosed to you or otherwise permitted under applicable law and marketplace rules.
36.2 App Store Purchases
When you purchase through Apple’s App Store, Apple processes the transaction.
Billing, payment, renewal, cancellation, and certain refund rights are subject to Apple’s applicable terms and purchase systems.
36.3 Other Marketplace Purchases
Purchases through another marketplace or platform may be processed and administered by that marketplace and subject to its applicable terms.
36.4 Taxes and Currency
Prices may vary based on country, currency, platform, taxes, exchange rates, promotions, or marketplace pricing.
Applicable taxes may be added where required.
36.5 Cancellation
You may cancel an auto-renewing Subscription through the platform through which you purchased it, subject to applicable platform procedures.
Cancellation normally prevents future renewal while allowing access through the remainder of an already-paid subscription period, unless applicable law or marketplace rules provide otherwise.
36.6 Deleting Willo Does Not Cancel a Subscription
DELETING THE WILLO APPLICATION DOES NOT CANCEL AN ACTIVE SUBSCRIPTION.
DELETING YOUR WILLO ACCOUNT ALSO MAY NOT AUTOMATICALLY CANCEL A SUBSCRIPTION MANAGED BY APPLE OR ANOTHER THIRD-PARTY MARKETPLACE.
You are responsible for cancelling the Subscription through the applicable marketplace or payment method.
36.7 Refunds
Except where required by applicable law or applicable marketplace rules, fees are non-refundable once charged.
Where Apple or another marketplace processed a purchase, refund requests may need to be submitted directly to that marketplace.
Nothing in these Terms limits mandatory refund, cancellation, withdrawal, or cooling-off rights provided by applicable law.
36.8 Price Changes
We may change Subscription prices.
Any price change affecting an existing auto-renewing Subscription will be implemented with notice, consent, or other procedures required by applicable law and marketplace rules.
37. Free Trials and Promotional Offers
Willo may offer:
- free trials;
- introductory pricing;
- discounts;
- promotional periods;
- referral offers; or
- other promotions.
Eligibility and terms may vary.
Where a free trial or promotional period automatically converts into a paid Subscription, that fact and the applicable pricing will be disclosed as required before purchase.
Unless otherwise disclosed, cancelling after a promotional period has converted to a paid Subscription does not retroactively reverse charges already incurred.
Promotions may be changed or discontinued for future users subject to applicable law.
38. Prohibited Conduct
You may not use the Services:
- unlawfully;
- fraudulently;
- to impersonate another person;
- to violate another person’s rights;
- to submit content you have no right to provide;
- to compromise Service security;
- to obtain unauthorized access;
- to introduce malicious software;
- to abuse subscriptions, trials, referrals, promotions, or refunds;
- to circumvent technical restrictions;
- to circumvent safety protections;
- to intentionally overload infrastructure;
- to interfere with another user’s use;
- to automate access without authorization;
- to commercially resell Willo;
- to misrepresent AI Output as professional medical advice from Willo; or
- in another manner that materially harms Willo, users, or third parties.
We may investigate suspected misuse and take reasonable protective action.
39. Suspension and Termination
You may stop using Willo at any time.
We may restrict, suspend, or terminate all or part of your access if we reasonably determine that:
- you violated these Terms;
- you engaged in fraud or abuse;
- your account presents a security risk;
- your use may cause harm;
- your use violates applicable law;
- payment remains due;
- a third-party platform requires action;
- continued provision of the Service is technically impracticable; or
- termination is otherwise reasonably necessary to protect Willo, users, or third parties.
Where required by applicable law, we will provide appropriate notice.
Termination of an account does not automatically cancel a third-party marketplace subscription unless the relevant marketplace provides otherwise.
Provisions that by their nature should survive termination will survive, including provisions concerning:
- intellectual property;
- licenses already granted to Feedback;
- accrued payment obligations;
- warranty disclaimers;
- assumption of risk;
- limitation of liability;
- dispute resolution;
- indemnification; and
- general legal provisions.
40. DISCLAIMER OF WARRANTIES

No oral or written statement obtained from Willo creates a warranty unless expressly designated as a legally binding warranty by Willo.
Some jurisdictions do not allow exclusion of certain warranties. In those jurisdictions, these exclusions apply only to the maximum extent permitted by law.
41. ASSUMPTION OF RISK
You understand and acknowledge that exercise, physical activity, nutrition choices, dietary changes, and decisions concerning your body may carry inherent risks.
To the maximum extent permitted by law, you knowingly and voluntarily assume the risks inherent in:
- exercise;
- resistance training;
- cardiovascular activity;
- athletic activity;
- use of exercise equipment;
- following workout recommendations;
- changing workout intensity;
- using weight recommendations;
- changing nutrition practices; and
- acting on general fitness or wellness information.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PROTECTED PARTIES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, BUSINESS, OPPORTUNITY, GOODWILL, DATA, OR OTHER INTANGIBLE LOSS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PROTECTED PARTIES WILL NOT BE LIABLE FOR DAMAGES ARISING FROM OR RELATING TO:
- RELIANCE ON AI OUTPUT;
- AN AI ERROR OR HALLUCINATION;
- EXERCISE OR PHYSICAL ACTIVITY;
- AN EXERCISE INJURY;

- LOSS OF CONTENT;
- UNAUTHORIZED ACCOUNT ACCESS NOT CAUSED BY A BREACH OF A NON-WAIVABLE DUTY OWED BY WILLO; OR
- EVENTS OUTSIDE WILLO’S REASONABLE CONTROL.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF THE PROTECTED PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF:
- (A) US $100; OR
- (B) THE AMOUNT YOU ACTUALLY PAID TO WILLO FOR THE SERVICES DURING THE TWELVE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
These limitations apply regardless of whether liability is asserted in contract, tort, negligence, strict liability, statute, or another theory and even if a Protected Party has been advised that damages were possible.
The limitations are intended to allocate risk between you and Willo and are a fundamental part of the basis on which Willo makes the Services available.
Nothing in these Terms excludes or limits liability:
- for fraud where it cannot lawfully be excluded;
- for intentional misconduct where it cannot lawfully be excluded;
- for gross negligence where applicable law prohibits limitation;
- for death or personal injury to the extent liability cannot legally be excluded;
- under mandatory consumer-protection law; or
- for any other liability that applicable law prohibits us from excluding or limiting.
43. Indemnification
To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless the Protected Parties from third-party claims, damages, liabilities, judgments, losses, and reasonable legal expenses arising out of or relating to:
- your unlawful use of the Services;
- User Content that infringes another person’s rights;
- your material breach of these Terms;
- your fraud or intentional misconduct; or
- your violation of another person’s legal rights.
This indemnification provision is not intended to make an ordinary consumer indemnify Willo for Willo’s own negligence, misconduct, or legal obligations where such shifting of liability is prohibited by law.
44. Force Majeure
To the maximum extent permitted by law, Willo will not be liable for delay, interruption, degradation, or failure to perform caused by circumstances outside its reasonable control, including:
- internet outages;
- telecommunications failures;
- cloud-provider outages;
- third-party AI-provider outages;
- cybersecurity attacks;
- labor disputes;
- natural disasters;
- fires;
- floods;
- epidemics or pandemics;
- war;
- terrorism;
- civil unrest;
- government action;
- sanctions;
- power failures; or
- failures of third-party platforms.
45. UNITED STATES DISPUTE RESOLUTION AND BINDING ARBITRATION
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
This Section applies to users located in the United States to the maximum extent permitted by applicable law.
45.1 Informal Dispute Resolution First
Before either you or Willo initiates arbitration concerning a Dispute, the party asserting the Dispute must first send the other party a written Notice of Dispute and provide at least 60 days to attempt good-faith informal resolution.
“Dispute” means any claim, controversy, or dispute between you and Willo arising out of or relating to:
- the Services;
- these Terms;
- prior versions of these Terms;
- your account;
- subscriptions;
- transactions;
- AI Features;
- recommendations;
- communications;
- privacy-related claims where legally arbitrable;
- advertising;
- marketing;
- or your relationship with Willo.
A Notice of Dispute from you must include:
- your full name;
- the email associated with your Willo account;
- sufficient information to identify the relevant account;
- a description of the facts;
- the nature and basis of the claim;
- and the specific relief requested.
Notices must be personally signed by the person asserting the claim unless applicable law permits otherwise.
Notices to Willo must be sent to:
Email: [LEGAL / DISPUTE EMAIL]
Mail: [LEGAL NOTICE ADDRESS]
A Notice of Dispute from Willo will be sent to the email address associated with your account or another appropriate address we have for you.
The parties agree to participate personally and in good faith in the informal process.
No arbitration may be initiated until the 60-day period concludes, except where immediate provisional relief is legally necessary.
Applicable limitation periods will be tolled during the required informal-resolution period to the extent required by law.
45.2 Agreement to Individual Arbitration
If a Dispute is not resolved informally, you and Willo agree that the Dispute will be resolved through binding individual arbitration, rather than in court, except as expressly provided below.
The Federal Arbitration Act governs the interpretation and enforcement of this arbitration agreement.
Arbitration will be administered by the American Arbitration Association (“AAA”) under its applicable Consumer Arbitration Rules, as modified by these Terms.
If the AAA is unavailable and the parties cannot agree upon another administrator, a court with jurisdiction may select an appropriate arbitration administrator.
45.3 Arbitration Procedures
The arbitrator may award any individualized remedy that would otherwise be available in court to the extent permitted by applicable law.
The arbitrator will apply applicable substantive law.
Hearings may be conducted remotely where permitted by the applicable rules, or at another reasonably convenient location.
Fees will be allocated in accordance with applicable AAA consumer rules and applicable law.
Willo will not seek to recover its attorneys’ fees from you in arbitration unless the arbitrator determines that your claim was frivolous or brought for an improper purpose, or otherwise where applicable law expressly permits recovery.
45.4 Small Claims Court
Either party may bring an eligible individual claim in small claims court instead of arbitration if the claim qualifies and remains solely in that court.
45.5 Intellectual Property and Emergency Relief
Either party may seek temporary, emergency, or preliminary injunctive relief from a court where reasonably necessary to:
- prevent imminent irreparable harm;
- protect account or Service security;
- prevent unauthorized access; or
- protect intellectual-property rights.
Seeking such limited relief does not waive arbitration of the underlying dispute.
45.6 CLASS, COLLECTIVE, MASS, AND REPRESENTATIVE ACTION WAIVER
TO THE MAXIMUM EXTENT PERMITTED BY LAW, YOU AND WILLO AGREE THAT EACH MAY ASSERT CLAIMS AGAINST THE OTHER ONLY ON AN INDIVIDUAL BASIS.
Neither you nor Willo may pursue claims in arbitration as:
- a class action;
- class member;
- collective action;
- representative action;
- consolidated action;
- private attorney general action on behalf of others; or
- another proceeding seeking relief for persons other than the individual claimant,
- except to the extent applicable law makes a particular form of relief non-waivable.
The arbitrator may award relief only to the individual claimant and only to the extent necessary to resolve that claimant’s individual claim.
If applicable law requires that a particular request for public or non-individual injunctive relief be decided by a court, that request will be severed and may proceed in court only after arbitration of the arbitrable individual claims, to the extent permitted by law.
45.7 Mass Arbitration
If 25 or more similar arbitration demands are filed against the same or related parties and meet the criteria for mass arbitration under the AAA’s applicable rules, the AAA’s then-current Mass Arbitration Supplementary Rules and applicable consumer mass-arbitration procedures will govern administration of those demands.
Each claimant’s substantive claim remains individual except to the extent the applicable AAA rules permit coordinated administration.
Nothing in this section authorizes class arbitration.
45.8 Jury Trial Waiver
To the maximum extent permitted by applicable law, for any Dispute that proceeds in court rather than arbitration:
YOU AND WILLO EACH KNOWINGLY WAIVE THE RIGHT TO A TRIAL BY JURY.
45.9 Arbitration Opt-Out
You may opt out of this arbitration agreement by sending a written notice to:
[ARBITRATION OPT-OUT EMAIL]
within 30 days after the date you first accept these Terms.
Your opt-out notice must:
- identify you;
- identify the email associated with your Willo account;
- clearly state that you wish to opt out of the arbitration agreement; and
- be sent personally by you or an authorized representative where required by law.
Validly opting out of arbitration will not affect the remaining provisions of these Terms.
45.10 Time Limit for Claims
To the extent permitted by applicable law, any claim arising out of or relating to the Services or these Terms must be commenced within one year after the claim accrued.
If applicable law does not permit that limitations period to be shortened, the minimum legally permissible limitation period will apply instead.
45.11 Severability of Arbitration Terms
Except as otherwise expressly provided in this Section, if part of this arbitration agreement is determined to be invalid or unenforceable, that provision will be severed or limited to the minimum extent necessary and the remaining arbitration provisions will remain effective, unless applicable law requires otherwise.
46. Users Outside the United States
If you are a consumer located outside the United States, you may have mandatory rights under the laws of your country or region.
Nothing in these Terms is intended to waive or restrict rights that applicable law does not permit you to waive.
Any:
- warranty disclaimer;
- liability limitation;
- arbitration provision;
- governing-law provision;
- jurisdiction provision;
- refund restriction;
- limitation period; or
- other contractual limitation
- applies only to the maximum extent permitted by applicable law.
Consumers in the European Economic Area, United Kingdom, Israel, and other jurisdictions may have mandatory statutory rights concerning digital services, subscriptions, privacy, cancellation, withdrawal, remedies, or access to local courts.
Those mandatory rights remain unaffected.
47. Governing Law and Forum
Except for the United States arbitration provisions above and except where mandatory local law requires otherwise, these Terms will be governed by the laws of:
Israel
without regard to conflict-of-law principles.
Any dispute that is not required to be arbitrated and for which applicable consumer law does not provide another mandatory forum will be brought
Nothing in this Section deprives a consumer of mandatory protections or access to courts that applicable law does not permit to be waived.
THIS SECTION MUST BE COMPLETED BASED ON WILLO’S FINAL LEGAL ENTITY AND CORPORATE JURISDICTION BEFORE PUBLICATION.
48. Apple App Store Terms
This Section applies when you download or access the Willo application through Apple’s App Store (“App Store Sourced Application”).
You and Willo acknowledge and agree that:

48.3 Maintenance and Support
Willo is responsible for maintenance and support of the application to the extent required under these Terms or applicable law.
Apple has no obligation to furnish maintenance or support services for Willo.
48.4 Warranty
To the extent a warranty concerning the App Store Sourced Application cannot legally be disclaimed and the application fails to conform to that warranty, you may notify Apple and Apple may refund the purchase price, if any, for the application in accordance with Apple’s applicable policies.
To the maximum extent permitted by law, Apple has no other warranty obligation concerning the application.
Any other claims, losses, liabilities, damages, costs, or expenses attributable to a failure to conform to an applicable warranty are the responsibility of Willo to the extent required by applicable law.
48.5 Product Claims
Willo, not Apple, is responsible for addressing claims relating to the application or your possession or use of the application, including:
- product-liability claims;
- claims that the application fails to conform to applicable legal or regulatory requirements;
- consumer-protection claims;
- privacy claims; and
- claims relating to use of HealthKit or other Apple frameworks,
to the extent required by applicable law.
48.6 Intellectual Property Claims
If a third party claims that the App Store Sourced Application or your possession or use of it infringes that third party’s intellectual-property rights, Willo, not Apple, is responsible for the investigation, defense, settlement, and discharge of that claim to the extent required by these Terms and applicable law.
48.7 Legal Compliance
You represent and warrant that:
- you are not located in a country subject to a United States Government embargo or designated by the United States Government as supporting terrorism; and
- you are not listed on a United States Government list of prohibited or restricted parties.

48.9 Third-Party Terms
You must comply with applicable third-party agreements when using the App Store Sourced Application, including applicable wireless-data, device, Apple, and connected-service terms.
48.10 Apple as Third-Party Beneficiary
Apple and its subsidiaries are third-party beneficiaries of these Terms as they relate to your license of the App Store Sourced Application.
Upon your acceptance of these Terms, Apple will have the right to enforce the applicable provisions against you as a third-party beneficiary.
49. Other App Marketplaces
If you obtain Willo from Google Play or another app marketplace, your use of the application must also comply with that marketplace’s applicable terms.
To the extent a mandatory marketplace term conflicts with these Terms, the mandatory marketplace term controls solely to the extent of that conflict.
The applicable marketplace is not responsible for Willo except to the extent expressly required by that marketplace’s terms or applicable law.
50. Electronic Communications and Notices
You consent to receive legal, transactional, security, account, and Service-related notices electronically to the extent permitted by applicable law.
We may provide notices:
- by email;
- through the application;
- through your account;
- through a Service notification; or
- through another legally permissible electronic method.
You are responsible for keeping your account email address reasonably current.
Marketing communications are subject to applicable law and the choices described in our Privacy Policy.
51. Updates to the Application
Willo may provide software updates automatically or through an app marketplace.
Updates may:
- fix bugs;
- change functionality;
- address security risks;
- modify AI systems;
- modify compatibility; or
- add or remove features.
You may need to install an update to continue using some or all Services.
52. Changes to These Terms
We may update these Terms from time to time.
Reasons may include:
- changes in law;
- regulatory requirements;
- new features;
- new technologies;
- AI developments;
- safety requirements;
- security requirements;
- changes to subscriptions;
- changes in business structure; or
- clarification of existing provisions.
If a change is materially adverse to users, we will provide notice as required by applicable law.
Where appropriate or legally required, we may require you to affirmatively accept updated Terms before continuing to use the Services.
The updated Terms will identify their effective date and version.
Changes will apply prospectively to the extent required by law.
Material changes to the arbitration agreement will be handled in accordance with applicable law and will not be used to unfairly alter the resolution of an already-existing dispute.
If you do not agree to updated Terms, you must stop using the Services and, if applicable, cancel your Subscription.
53. Export Controls and Sanctions
You must comply with applicable export-control, trade, and sanctions laws.
You may not use, export, re-export, transfer, or make the Services available in violation of applicable trade restrictions.
You represent that you are not prohibited from receiving the Services under applicable sanctions or export-control laws.
54. Assignment
You may not assign or transfer these Terms or your rights under them without Willo’s prior written consent.
Willo may assign or transfer these Terms in connection with:
- a merger;
- acquisition;
- corporate restructuring;
- financing;
- sale of assets;
- sale of the business;
- change of control; or
- transfer of the Services,
- subject to applicable law.
Mandatory consumer rights will not be affected by an assignment.
55. No Agency, Partnership, or Fiduciary Relationship
Nothing in these Terms creates a:
- partnership;
- joint venture;
- employment relationship;
- agency relationship;
- fiduciary relationship; or
- professional-client relationship
between you and Willo.
56. Third-Party Beneficiaries
Except for:
- Apple as expressly provided above; and
- Protected Parties to the extent expressly granted protection under warranty, liability, or related provisions,
these Terms do not create rights for third-party beneficiaries.
57. Severability
If a provision of these Terms is determined to be unlawful, invalid, or unenforceable, it will be enforced to the maximum lawful extent and, where appropriate, modified or severed while leaving the remaining provisions in effect.
Special severability rules contained in the arbitration section control with respect to that section.
58. No Waiver
Failure by Willo to exercise or enforce a right or provision does not waive that right or provision.
A waiver on one occasion does not constitute a waiver on another occasion.
59. Entire Agreement and Order of Precedence
These Terms and any supplemental terms expressly made part of them constitute the entire agreement between you and Willo concerning your use of the Services, except where another written agreement expressly applies.
If specific supplemental terms for a feature conflict with these Terms, the supplemental terms control solely with respect to that feature.
If mandatory app-marketplace terms conflict with these Terms, those mandatory terms control solely to the extent of the conflict.
Our Privacy Policy describes our personal-information practices separately.

Words such as “including,” “includes,” and “such as” are illustrative and do not limit the preceding language.

Translations may be provided for convenience.
Where permitted by applicable law, the English version controls in the event of a conflict between translations.
